Agreement to terms

By accessing or using the WebGruntz website, or by engaging WebGruntz for services, you agree to these Terms of Service. If you do not agree, please do not use the site or purchase our services.

Services we provide

WebGruntz provides website design, website redesign, search engine optimization, local map-pack optimization, paid advertising management, digital strategy consulting, hosting, and related digital marketing services. Specific deliverables, timelines, and fees are set out in the project proposal, statement of work, or subscription terms agreed upon with each client.

Client responsibilities

To deliver great results, we need clients to provide accurate, timely, and complete information. You agree to:

  • Provide truthful and up-to-date contact, business, and billing information.
  • Supply content, images, branding, and access credentials needed for the project in a timely manner.
  • Ensure you have the rights to use any materials you provide, including logos, photos, text, and third-party accounts.
  • Respond to feedback and approval requests within reasonable timeframes.

Payments and subscriptions

Website and marketing subscription plans are billed on a recurring monthly basis unless otherwise agreed. One-time project fees are billed according to the schedule in your proposal or invoice. You are responsible for all applicable taxes and fees.

Failure to pay may result in suspension of services, removal of published content, or termination of the agreement. Cancellation terms for recurring subscriptions are governed by the specific subscription or service agreement you accepted.

Refunds and cancellations

Because our services are custom and often digital in nature, fees for work already performed are generally not refundable. Refund and cancellation rights for any specific project are controlled by the signed service agreement or invoice terms between you and WebGruntz. If you have questions about your specific terms, contact us directly.

Intellectual property

You retain ownership of any content, branding, images, or other materials you provide to us. Upon full payment of the agreed project fees, you receive ownership of the final deliverables specifically created for your project.

WebGruntz retains ownership of pre-existing code, frameworks, templates, tools, processes, and methodologies used to deliver the work. We may use general knowledge and experience gained from the project for future work.

Confidentiality

We respect the confidentiality of your business information and will not share it with third parties except as needed to deliver services, with your permission, or as required by law. Similarly, clients agree to keep any proprietary processes, pricing, or internal tools disclosed by WebGruntz confidential.

Third-party services and integrations

Our work may involve third-party platforms, APIs, advertising accounts, or hosting providers. You are responsible for complying with the terms of those third-party services and maintaining any accounts required. We are not liable for changes, outages, or policies imposed by third-party providers.

Limitation of liability

To the maximum extent permitted by law, WebGruntz's liability for any claim arising out of or relating to our services or these terms is limited to the amount you paid us for the services giving rise to the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages, or for lost profits, revenue, or data.

Indemnification

You agree to indemnify and hold harmless WebGruntz and its owners, contractors, and agents from any claims, damages, or expenses arising from your use of the site, your materials, or your violation of these terms.

Termination

Either party may terminate a service agreement in accordance with the terms of that agreement. We may suspend or terminate access to the site or services for conduct that violates these terms, harms our systems, or is unlawful.

Governing law

These Terms of Service are governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles. Any disputes arising from these terms or our services will be resolved in the state or federal courts located in Louisiana.

Changes to these terms

We may update these Terms of Service from time to time. The latest version will always be posted on this page with the "Last updated" date. Your continued use of the site after changes means you accept the updated terms.
